Senior Legal Counsel     Houston, TX

Position Description

Our client is seeking a Senior Legal Counsel to join a small team of inhouse lawyers who provide legal support to their Corporate Development group and business units’ Business Development (BD) groups in connection with corporate and/or commercial matters. The position is based in the company’s Houston, TX office, and reports to an Associate General Counsel in that office. The position does not have any direct reports. Particular focus of this position will be on matters related to commercial transactions, mergers, acquisitions, divestitures and JV’s, including structuring transactions and providing legal support with drafting, reviewing, negotiating and interpreting related contracts.

Position Requirements

  • Provide legal support with structuring, drafting, reviewing, negotiating, and interpreting contracts related to commercial transactions, mergers, acquisitions, divestitures, and JV’s the company’s affiliates.
  • Lead the company’s legal teams (through project management) in connection with M&A transactions and BD projects, including coordinating support from other inhouse lawyers and subject matter experts.
  • Assist with due diligence in connection with M&A transactions and or BD projects.
  • Provide legal support with respect to antitrust laws in connection with M&A transactions and BD projects.
  • Manage the use of external legal counsel on discrete M&A transactions and BD projects to ensure that they are providing services in an effective and cost-efficient manner in accordance with the company’s outside counsel guidelines.
  • Advise the company’s representatives on potential legal ramifications/risks of a course of action involving the company and propose possible mitigations to such risks.
  • Advise the company’s representatives about legal developments and trends relevant to M&A transactions and BD projects.
  • Apply independent judgment in recommending a course of action for the company.

Who You Are

  • Law Degree from an accredited U.S. law school.
  • A member in good standing with the Texas Bar (or committed to add TX license in addition
    to current other US state license).
  • Minimum of five (5) years of legal transactional experience either in-house or at a major
    law firm.
  • Highly developed ability to identify and respond to legal commercial business issues on
    short notice, and under strict time constraints.
  • Ability to work independently, make decisions and meet multiple deadlines in a dynamic
    work environment under tight deadlines.
  • Excellent interpersonal and communication skills, including the ability to communicate
    effectively (cooperative yet persuasive approach) with all levels in the organization.
  • Excellent organizational, project management and facilitation skills.
  • Meticulous attention to detail, but pragmatic and business-orientated in approach.
  • Broad understanding of the North American energy industry would be preferred.

Position Description

Have you prepared general financial aspects of matters that impact joint venture arrangements? If so, then this is the perfect opportunity for you! Our Joint Venture group is the point of contact that ensures the optimization of the financial performance of our joint venture activities while also acting proactively and retroactively to respond to the needs of our partners.

Our Accounting Advisor will focus on keeping accurate accounting and budgeting records, facilitating proper cash management procedures, maintaining positive business relationships with partners, and using their knowledge and experience to assist other departments with requests or issues that arise.

Position Requirements

  • Prepare and review monthly financial statements and support schedules to be provided to internal management and partners
  • Prepare, review, and approve monthly journal entries including joint venture billings
  • Perform research and analysis for ad hoc questions or requests from partners
  • Interact with other groups inside the company (including Business Development, Treasury, and Reporting)
  • Prepare annual budgets for internal management and individual joint ventures
  • Prepare and coordinate cash calls and cash distributions with partners
  • Prepare and review quarterly and annual FERC Form 3 and Form 2 reports
  • Prepare and review account reconciliations and monthly actual variance analysis
  • Coordinate and interact with internal and external auditors on quarterly and year-end audits
  • Ensure compliance with SOX controls and related reporting requirements
  • Provide guidance to analysts as needed
  • Special projects as the need arises
  • Mandatory COVID-19 Vaccine or Testing.

    • A Bachelor’s degree in Accounting or Finance with 3 + years of related experience
